[Matters and documents]

The whole deal, not just the contract.

A matter holds the contracts and the papers around them: disclosure schedules, board resolutions, correspondence, financials. Attach it to a chat and every question is answered from that deal. Ask the same question of eight contracts and get a table where every cell quotes its source.

Scanned PDFs with no text layer are read with OCR when you ask, so the board minutes someone photographed count as much as the signed agreement.

Opening the matter

One matter, its vaults, and a question answered from all of them.

Four things a turn can hold.

A matter decides which deal. Documents decide which paper. A template decides the shape of a new document. Skills decide the method. Clausel names what is in play on every turn, and what stood aside, by name, so nothing is applied by accident.

Pick a request. The four slots answer for themselves.

One question, eight contracts, every cell with its quote.

A review table is bulk due diligence as a grid: documents down the side, questions across the top. A cell is only filled when Clausel can quote the sentence it rests on. A value with no quote is held back, not shown as fact. Ask in chat for up to 12 contracts against 6 questions at once.

Vaults that know where a sentence lives.

Every document in a vault is stored with its section offsets, so a search result is a place, not just a file: the disclosure letter, section 4.2, page 11. Search works by meaning and by keyword together, and the chat can list, read and search a vault on its own.

Embeddings are computed on Clausel's own servers. Clause text is never sent out to be indexed.

Supporting documents before a signatureA signer can be required to upload or confirm a document before they sign: a board resolution, a proof of authority, a certificate. It becomes a condition precedent on the signing package.

Approvals and signing

A photographed page is still a document.

When a PDF has no text layer, the row says so. Press Read it with OCR, and Clausel transcribes the page images and stores the result with the same section offsets as a born-digital file. The review table, the search and the chat see no difference.

Only when there is no text

A PDF with a text layer is read as it is. A scan is marked as unread until you press Read it with OCR, so nothing is transcribed by surprise.

The same offsets

Transcribed pages get section and page positions, so a citation into a scan points at a place, not a whole file.

Any type of paper

Word files, PDFs, text files and scans sit in the same vault and answer the same questions.

Every table exports to CSV with its values and clause references, so the partner who never opens Clausel still gets the grid.

Frequently asked questions

A matter is the deal: it scopes every repository read in a chat, so "the lease" means the lease in this deal. A vault is a folder inside the matter, and a document is a file in a vault, stored with its section offsets. Contracts in the repository can be linked to a matter too, which is where the counts come from.

It is flagged as not accepted and left for a lawyer. The claimed value is shown so you can check it, but it is not treated as a finding and it exports marked as such. You can override any cell inline, and your name and the time sit on it.

Not to be indexed. Semantic search uses embeddings computed on Clausel's own servers, combined with keyword search. Contract text still goes to the AI vendor when a model reads or drafts it. See security and data for where everything lives.

Yes. A signing package can require a signer to upload or confirm supporting documents as a condition precedent, and the signature is not collected until they do. See approvals and signing.
